By using our Services—including payment processing, ordering platforms, AI integrations, crowd management, loyalty systems, QR-based interactions, and integrated POS/delivery/CRM solutions—you agree to these Terms & Conditions. Please read them carefully.

1. Using Our Services

Service Availability: Services activate upon account setup or guardian approval and remain accessible until deactivation at midnight of the same day or until your subscription period ends. Policy Compliance: You must follow all published policies, documentation, and guidelines. Unauthorized access attempts, system interference, or circumvention of our user interface and API is strictly prohibited.

2. Your Responsibilities

You are solely responsible for the content you provide and actions taken through the Services, including any data, text, files, images, profiles, or other materials ("Content"). You agree not to:

• Provide False Data: Submitting inaccurate, incomplete, or misleading information that could disrupt service for you or others (including minors).
• Illegal or Harmful Content: Upload or share any content that is unlawful, threatening, defamatory, obscene, hateful, or violates privacy or proprietary rights of others.
• Intellectual Property Violations: Use or distribute any Content that infringes on patents, trademarks, copyrights, trade secrets, or other intellectual property rights.
• Malicious Software: Transmit viruses, worms, Trojan horses, or any malicious code intended to disrupt, damage, or gain unauthorized access to systems.
• Impersonation & Privacy Violations: Impersonate individuals or entities, falsely claim affiliations, or harvest personal data of other users without explicit consent.
• Unauthorized Data Collection: Scrape, mine, or otherwise collect data from the platform for republishing or unauthorized uses.

You agree to indemnify and hold harmless Jood Pay, its affiliates, directors, and employees against all claims, liabilities, damages, losses, and expenses arising from your Content or violation of these Terms.

3. Donation & Item Registration

• Verification Process: You must submit proof of ownership (receipts, photos, documentation) for donated items.
• Irreversible Donations: Once processed, donations are final; all rights and claims to donated items are relinquished.
• Accurate Registration: Item registration requires full disclosure of condition, ownership history, and relevant details affecting value or usability.

4. AI & Chatbot Integration

• Non–Professional Advice: AI/chatbot outputs are for informational purposes only and not a substitute for professional consultation.
• Data Usage: You consent to the collection and use of your interactions to train and improve our AI models.

5. Plans, Fees & Billing

• Subscription Plans: Tiered offerings (Basic, Pro, Enterprise) billed monthly or annually. Fees exclude VAT and other taxes.
• Free Trials & Promotions: Available for a fixed duration; automatically convert to paid subscriptions unless canceled before expiration.
• Plan Changes & Cancellations: You may upgrade or downgrade at any time; changes apply next billing cycle with no prorated refunds. Cancellations are effective immediately for no future charges but service remains until period end.
• Payment Failures: Failed payments may result in suspension until resolved. You are responsible for maintaining valid payment methods.

6. Usage Restrictions & Prohibited Conduct

• Fraud Prevention: No fraudulent transactions or manipulations.
• No Reverse Engineering: Prohibition on decompiling or reverse engineering platform components.
• Legal Compliance: Adherence to applicable laws, including AML, KYC, data protection, and consumer rights regulations.

7. Modifications, Suspension & Termination

• Updates to Terms: Jood Pay may revise these Terms at any time; notice is provided via the platform or email. Continued use post-update implies acceptance.
• Account Suspension: For violations, fraud, non-payment, or security risks.
• Termination Rights: We may terminate or restrict access without notice or liability.

8. Disclaimer & Limitation of Liability

• Service Scope: Jood Pay provides technology only and is not responsible for physical incidents (injuries, missing persons) or third-party content.
• Liability Cap: Liability is limited to amounts paid under these Terms in the preceding 12 months.
• No Consequential Damages: Exclusion of indirect, incidental, or punitive damages, including lost profits or data.

9. Entire Agreement & Severability

These Terms constitute the full agreement. If any part is invalid, the rest remains enforceable.

10. Governing Law & Dispute Resolution

Governed by Saudi Arabian law, resolved in Riyadh courts unless mandatory local laws dictate otherwise.

11. Waiver & Notices

Waiver is valid only in writing by both parties. Notices sent to info@joodpay.io are deemed received immediately.
